1.2.These Terms of Use together with HULA'sĀ Privacy Policy, which governs the processing by HULA of any personal data which HULA collects from you or which you provide to HULA, set out the terms (collectivelyĀ HULA's Terms of Use) according to which you may access and use the Website, whether as a guest, registered user or otherwise (collectivelyĀ you,Ā User orĀ Users). Use of the Website includes, but is not limited to, accessing, browsing or registering to use it.

(i)You confirm that you have read and understood HULA's Terms of Use, and you agree to be bound by and to comply with them.

3.1.The Website is made available to Users free of charge.

3.2.HULA does not guarantee that the Website, or any content on it, will be free from errors or omissions, or that the Website, or any content on it, will always be available or uninterrupted. 4.1.You may use the Website for the purpose of renting, negotiating, bidding, selling, offering for sale, purchasing, and concluding transactions for new or pre-owned luxury goods, and only for lawful purposes.

5.UPLOADING CONTENT TO THE WEBSITE

5.1.Whenever you make use of a feature that allows you to upload content to the Website, in addition to these Terms of Use, you must comply with the content standards set out in these Terms of Use. You warrant that any such contribution does comply with those standards, and you will be liable to HULA and indemnify HULA for any breach of that warranty. Any content you upload to the Website will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content but you are required to grant HULA a license to use, store and copy that content, and to distribute and make it available to third parties. You acknowledge, accept and agree that HULA has the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Website constitutes a violation of their Intellectual Property Rights or of their right to privacy.

6.PROHIBITED USE OF THE WEBSITE

6.1.You must not use the Website:

(i)In any way that breaches, or may breach, any applicable local, national, or international law or regulation;

(ii)In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purposes or effects;

(iii)For the purpose of harming or attempting to harm others, including but not limited to minors, in any way;

(iv)To send, knowingly receive, upload, download, use or re-use any material which does not comply with HULA's content standards, as provided in these Terms of Use;

(vi)To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware; and

(vii)To list, advertise, promote and/or sell unauthorised, illegal or inauthentic goods.

6.2.You also agree and undertake:

(i)Not to reproduce, duplicate, copy or re-sell any part of the Website in contravention of the provisions of these Terms of Use; and

(ii)Not to access without HULA's authorisation, interfere with, harm, damage or disrupt:

(a)Any part of the Website;

(b)Any equipment or network on which the Website is stored;

(c)Ā Any software used in the provision of the Website; or

(d)Any equipment or network or software owned or used by any third party.

7.SUSPENSION AND TERMINATION

7.1.HULA will determine, in its sole discretion, whether there has been a breach of these Terms of Use through your use of the Website. When a breach of these Terms of Use has occurred, HULA may take such action as it deems appropriate including suspending or terminating your use of the Website.

7.2.Failure to comply with the provisions of this Clause 2 constitutes a material breach of these Terms of Use upon which you are permitted to use the Website, and may result in HULA taking all or any of the following and other actions:

(i)Immediate, temporary or permanent withdrawal of your right to use the Website;

(ii)Immediate, temporary or permanent removal of any posting or material uploaded by you to the Website;

(iii)Issue of a warning to you;

(iv)Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;

(v)Further legal action against you; and

(vi)Disclosure of such information to law enforcement authorities as HULA reasonably feels is necessary.

7.3.HULA excludes liability for actions taken in response to breaches of this Acceptable Use Policy. The responses described in this Acceptable Use Policy are not limited, and HULA may take any other action it reasonably deems appropriate.

8.HULA'S ROLE

8.1.HULA provides access to an online platform for offering Products for sale and concluding transactions (Transactions) for the Products. HULA provides, a website that offers the following services (Services):

(i)Carrying out the Transactions; and

(ii)Any other services provided in the Website from time to time.

9.USER ACCOUNT

Eligibility

9.1.You must be at least 18 years of age to form valid and binding legal contracts under the laws of Hong Kong. Therefore, to use the Services available to Users, you warrant and represent that you are of a legal age to form a valid and binding contract. You cannot and must not use the Services of this Website, if you are under 18 years of age or your user account (User Account) has been suspended, removed or terminated by HULA for any reason.

User Account

9.2.When you create your User Account you must submit personal information as prompted by the Website's registration form. You acknowledge and accept that your personal information must be true, current, accurate and complete and that you will keep such information true, current, accurate and complete. You are solely responsible for the activity on your User Account, whether or not such activity is authorised by you. If you provide personal information which is untrue, out-dated, inaccurate or incomplete or if HULA has reasonable grounds to suspect that any information provided is untrue, out-dated, inaccurate or incomplete, HULA has the right to suspend or terminate your User Account and refuse any and all current or future use by you of the Website.

9.3.You represent and warrant that, and you will use your best endeavours to procure that no other person whether an individual or corporation other than you will make use of your User Account to use the Website.

9.4.You must not have more than one active User Account.

9.5.Users shall use the My Account section on the Website to view the following aspects of their User Account:

(i)My Inventory (My Sales / My Purchases / Last Items Viewed / My Wish List); and

(ii)My Details (Personal Details / Address / Preferences / Status).

9.6.Users must be signed into the Website to access any aspect of their My Account section. This section also enables Users to unsubscribe from HULA's newsletter and/or delete their User Account with HULA.

Your User Account and password

9.7.You must choose a user identification code, password and/or any other piece of information as requested by HULA's Website during the registration process and as part of HULA's security procedures. You must treat such information as confidential and you must not disclose it to any third party. HULA has the right to disable any user identification code or password at any time if in HULA's reasonable opinion you or any User fails to comply with any of the provisions of these Terms of Use. HULA reserves the right to reject the name of any User Account that violates any Intellectual Property Rights, moral, or other rights of any third parties or that violates these Terms of Use. HULA will keep all personal details of Users confidential and shall not disclose them to third parties.

9.8.If you know or suspect that anyone other than you knows your user identification, code, password and/or any other access codes to the Website you must promptly notify HULA atĀ Hello@TheHula.com. HULA shall not be liable for any damage suffered by you or any loss you incur due to an unauthorised use of your User Account.

Termination of User Account

9.9.You may terminate your User Account at any time. However, conditions may apply, if you are a Seller within the meaning of HULA's Terms and Conditions for Sellers and Buyers. Please read in particular Clauses 14 (Sellers) and 19 (Buyers) of HULA'sĀ Terms and Conditions for Sellers and Buyers.

10.INTELLECTUAL PROPERTY RIGHTS

10.1.In these Terms of Use, "Intellectual Property Rights" mean patents, copyright and related rights, trade marks, business names and domain names, rights in design, database rights, rights to sue for passing off and all other intellectual property rights wherever in the world arising, in each case whether registered, unregistered or subject to all applications.

10.2.HULA, The Hula, andĀ TheHula.comĀ are trade marks and trade names, domain name and company name, and property of HULA. All other trade marks, trade names, domain names, company names and logos are property of their respective owners. HULA does not provide permission to use these trade marks, trade names, domain names, company names and/or logos.

10.3.HULA is the owner or the licensee of all Intellectual Property Rights in the Website and in the material published on it. These Intellectual Property Rights are protected by copyright laws and treaties around the world. All such rights are reserved.

10.4.Nothing on the Website shall be construed as granting, in whatsoever manner, any license or right to use any trade mark, logo or service mark displayed on the Website without the owner's prior written permission, except as indicated otherwise in these Terms of Use. HULA reserves all rights not expressly granted in and to the Website and its content. The Website and all of its content, including but not limited to text, design, graphics, audio or music, video, photographs, image, interfaces, and code, and the selection and arrangement thereof, is protected as a compilation under relevant copyright laws.

10.5.You may print off one copy and may download extracts of any page(s) from the Website for your personal use and you may draw the attention of others to content posted on the Website.

10.6.You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text without the prior written consent of HULA.

10.7.HULA's status, and that of any identified contributors, as the authors of content on the Website must always be acknowledged.

11. COUNTERFEITED ITEMS POLICY

11.1.HULA is committed to a strict Anti-Counterfeit Policy. As such, HULA only accepts authentic new or pre-owned luxury goods to be offered for sale on the Website and HULA will use its best endeavours to prevent that fake or counterfeited merchandise of any kind will be offered for sale.

12.DISCLAIMERS

12.1.TO THE MAXIMUM EXTENT PERMITTED BY LAW AND SUBJECT ALWAYS TO CLAUSE 12.3 BELOW: YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HULA RESERVES THE RIGHT TO RESTRICT OR TERMINATE YOUR ACCESS TO THE SITE OR ANY FEATURE OR PART THEREOF AT ANY TIME. 13.LIMITATION OF HULA'S LIABILITY AND DISCLAIMER

13.1.Nothing in HULA's Terms of Use excludes or limits HULA's liability for death or personal injury arising from HULA's negligence, or HULA's fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by the laws of Hong Kong.

13.2.TO THE EXTENT PERMITTED BY LAW, HULA EXCLUDES ALL CONDITIONS, WARRANTIES, REPRESENTATIONS OR OTHER TERMS WHICH MAY APPLY TO THE WEBSITE OR ANY CONTENT ON IT, WHETHER EXPRESS OR IMPLIED.

13.3.HULA SHALL NOT BE LIABLE TO ANY USER FOR ANY LOSS OR DAMAGE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, EVEN IF FORESEEABLE, ARISING UNDER OR IN CONNECTION WITH:

13.5.HULA SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A VIRUS, DISTRIBUTED DENIAL-OF-SERVICE ATTACK, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, INCLUDING MOBILE PHONES AND OTHER ELECTRONIC DEVICES, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR TO YOUR DOWNLOADING OF ANY CONTENT ON IT, OR ON ANY WEBSITE LINKED TO IT.

14.PRODUCT LIABILITY

15.1.HULA shall bear no liability for damages of any kind, including without limitation direct, indirect, incidental, punitive and consequential damages, including death and/or personal injury arising out of or in connection with any Product and/or the use of any Product bought or rented though the Website.

15.INDEMNITY

15.1.To the maximum extent permitted by applicable law, by accessing and using the Website, you agree to defend, indemnify and hold HULA, its affiliates, partners, agents, licensors, consultants, experts, directors, officers, employees, and other parties with which HULA is under contract, and their respective officers, directors, employees, and agents free and harmless from and against any claims, actions and demands, including, without limitation, any legal and accounting fees resulting from:

(i)Your use of and access to the Website or the Services provided by the Website;

(ii)Your violation of any provision of these Terms of Use; or

(iii)Your violation of any third-party right, including without limitation any intellectual property or other proprietary right.

16.VIRUSES

16.1.HULA does not guarantee that the Website will be secure or free from bugs or viruses.

16.2.You are responsible for configuring your information technology, computer programmes and platform in order to access the Website. You should use your own virus protection software.

16.3.You must not and you undertake to not, at any time, misuse the Website by knowingly introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Website, the server on which the Website is stored or any server, computer or database connected to the Website. You must not attack the Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offense under the Crimes Ordinance, Chapter 200 of the Laws of Hong Kong. 17.1.You may link to the Website's home page provided you do so in a way that is permitted and legal and does not damage HULA's reputation or take advantage of it. 19.GOVERNING LAW AND DISPUTE RESOLUTION

19.1.The construction, validity and performance of HULA's Terms of Use and all non-contractual obligations (if any) arising from or connected with HULA's Terms of Use shall be governed by Hong Kong law.

19.2.Any dispute, controversy, difference or claim arising out of or relating to HULA's Terms of Use, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it (aĀ Dispute) shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

19.3.At any time before HULA has submitted either a Notice of Arbitration or an Answer to the Notice of Arbitration, as the case may be, in relation to the resolution of a Dispute, HULA, at its sole option, may elect by notice in writing to you that such Dispute shall instead be heard by the courts of Hong Kong or by any other court of competent jurisdiction. Following any such election, no arbitral tribunal shall have jurisdiction in respect of such Dispute. In the event that HULA serves a written notice of election in respect of a Dispute, you agree with HULA that the courts of Hong Kong shall have non-exclusive jurisdiction to hear and determine the Dispute and, for such purposes, irrevocably submit to the jurisdiction of such courts. Subject to Clause 19.2 above, nothing in this Clause 19.3 shall (or shall be construed so as to) limit the right of HULA to bring proceedings for the determination of a Dispute against you in any other court of competent jurisdiction, nor shall the bringing of such proceedings in any one or more jurisdictions preclude the bringing of proceedings by HULA in any other jurisdiction (whether concurrently or not) if and to the extent permitted by law. For the purposes of this Clause 19.3, you irrevocably waive any objection which you might now or hereafter have to the courts of Hong Kong being nominated as the forum to hear and determine any proceedings arising out of or in connection with HULA's Terms of Use and you agree not to claim that any such court is an inconvenient or inappropriate forum.

20.NOTICES AND WRITTEN COMMUNICATIONS

20.1.Any notice to HULA must be in writing and, unless indicated otherwise in these Terms and Conditions, sent by email toĀ Hello@TheHula.com. Any notice or other written communication from HULA to you shall be deemed to be received by you if sent to the email address you have provided in your User Account or any other email address you have provided to HULA.

20.2.Any such notice or written communication shall be deemed to be received by you 24 hours after the email is sent, whereby the date shall be determined according to the local time at the place of receipt.
